Frequently Asked Questions
How is this different from a standard NDA?
A standard NDA assumes traditional disclosure: a meeting, a deck, an email exchange. Web3 NDAs need to handle counterparties who participate pseudonymously (under Discord handles, Telegram usernames, or ENS), confidential information that may inevitably become public on-chain (token addresses, contract addresses, multisig signers), front-running risk where the recipient of confidential information could trade against the disclosing party, and smart contract code that is meaningless to a generic 'reasonable person' standard. Our Web3 NDA addresses each of these directly.
When would I use this versus the standard NDA?
Use the standard /services/nda for traditional confidentiality (a vendor relationship, a sales conversation, a non-Web3 product disclosure). Use the Web3 NDA when the confidential information involves tokenomics, smart contract pre-deployment code, treasury composition, multisig signer identities, governance proposals before publication, or any information that creates trading or front-running risk if disclosed.
Does it bind pseudonymous counterparties?
Yes, with caveats. We draft to identify the counterparty by both pseudonymous identity (Discord handle, ENS, on-chain address) and a real-name signing block; the recipient must provide a real legal name to enforce. For fully pseudonymous engagements, the agreement is bound to the on-chain wallet address, with token-related remedies that work against the address rather than a person. Enforceability against fully pseudonymous parties is harder; we will discuss the realistic remedies before drafting.
Does it cover trading restrictions?
Yes. Where the recipient of confidential information could trade against the disclosing party (e.g., front-running a token launch, a treasury rebalance, or a governance proposal), we include explicit trading restrictions and a disgorgement remedy for breach. This is increasingly standard in token launch and treasury engagements.
What about smart contract code?
Pre-deployment smart contract code is one of the most sensitive forms of confidential information in Web3 — once deployed it becomes effectively public, but pre-deployment access creates massive front-running and exploit risk. We include explicit code-handling provisions (storage, access controls, return/destruction obligations, no-reverse-engineering carve-outs) tailored to the specific contracts involved.
Will this work for international counterparties?
We draft with the governing law of your choice. Florida governing law is the default. For international or fully decentralized engagements, we may recommend Delaware or New York governing law instead and include a forum-selection clause. International arbitration provisions are available on request.
